1. Agreement
These Terms of Service (Terms) are a binding agreement between you and [Legal entity name], [type of entity and registration number, e.g. a private limited company incorporated under the Companies Act, 2013, CIN ...], with its registered office at [Registered office address, City, State, PIN] (BizEasy, we, us). They govern the bizeasy.in website, the BizEasy seller app, the WhatsApp shop bot, public shop, checkout, tracking and invoice pages, the admin and support services, and related APIs (the Services).
By joining the waitlist, creating an account, connecting a WhatsApp number, or ordering from a shop that uses BizEasy, you accept these Terms and our Privacy Policy, Refund & Cancellation Policy and Shipping & Delivery Policy, which form part of these Terms. If you do not agree, do not use the Services.
These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and are published under Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. They do not need a physical or digital signature.
2. Key terms

- Staff: people a Seller invites to their shop account, with roles such as manager, packer or delivery.
- Customer: a person who browses or buys from a Seller through the Services.
- Seller Content: products, prices, photos, descriptions, messages, logos and other material a Seller adds.

3. Eligibility and accounts
- You must be at least 18 years old and able to enter a binding contract under the Indian Contract Act, 1872. If you use BizEasy for a business, you confirm you are authorised to bind it.
- Sellers must be based in India and run a lawful business. You must give accurate details, including your name, shop name, address and GSTIN if you are GST-registered, and keep them up to date.
- You log in with a one-time password sent to your mobile number. Keep your phone and codes secure. You are responsible for everything done through your account, including by your Staff.
- You decide which Staff can access your shop and with what role. Remove Staff who should no longer have access.

4. What BizEasy provides
BizEasy is software that helps small sellers sell on WhatsApp and online. Depending on your plan, it includes a WhatsApp shop bot on your own number, a web catalogue and checkout page, order management, inventory, customer lists, invoices and receipts, UPI and Razorpay payment links, delivery fee rules, optional courier shipping, coupons, broadcasts, live chat hand-off, notifications and analytics.
BizEasy is in early access. Features may be added, changed or removed, and some may be marked beta or offered only to some Sellers. We will tell you in advance before removing a feature you pay for.
5. BizEasy's role
BizEasy is a technology service provider. We are not the seller of any goods or services sold through a shop, we do not own or hold stock, and we do not hold or collect Customers' money.
- Each sale is a contract directly between the Seller and the Customer. The Seller is responsible for the products, their description, price, quality, legality, delivery, returns, refunds, warranties and taxes.
- Customers pay Sellers directly, by UPI to the Seller's UPI ID or through the Seller's own Razorpay account. BizEasy is not a bank, payment aggregator, payment gateway, escrow agent or payment system operator under the Payment and Settlement Systems Act, 2007.
- As an intermediary under Section 79 of the IT Act, we host and transmit Seller Content and messages but do not start transmissions, choose recipients or edit their content, except as these Terms or the law require.
- We may take down content, suspend shops or share information when the law, a court or a government authority requires, or when we reasonably believe these Terms have been broken.
6. Sellers' responsibilities
As a Seller, you agree to:
- comply with all laws that apply to your business, including the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, the Central Goods and Services Tax Act, 2017, the Legal Metrology Act, 2009 and the Packaged Commodities Rules, and, for food, the Food Safety and Standards Act, 2006 (including holding an FSSAI registration or licence);
- show Customers your legal name, address, contact number, and your return, refund, exchange, warranty and delivery terms before they order, and price products inclusive of taxes (with delivery charges shown separately);
- describe products accurately and truthfully, with real photos, and not use fake reviews, misleading discounts or dark patterns;
- fulfil orders you accept, update order and delivery status honestly, and handle complaints, returns and refunds promptly and fairly;
- issue correct invoices: BizEasy generates invoices from the details you provide, but you are responsible for their accuracy, for GST rates, HSN codes, invoice numbering and for filing your returns;
- collect, use and protect Customer data as the Data Fiduciary under the Digital Personal Data Protection Act, 2023, as set out in our Privacy Policy;
- send marketing messages only to Customers who have opted in, and import or sync only contacts you are allowed to message;
- not use dark patterns such as false urgency, basket sneaking, drip pricing, forced action or subscription traps, as prohibited by the Guidelines for Prevention and Regulation of Dark Patterns, 2023;
- not charge Customers a cancellation fee unless you bear a similar charge when you cancel, and process refunds within a reasonable time and in line with RBI rules, as the E-Commerce Rules require;
- give the country of origin, and for imported goods the importer's name and address, plus the other declarations the Legal Metrology (Packaged Commodities) Rules, 2011 require for goods sold online;
- clearly label any image or video of a product that has been created or materially changed using AI, and never use it to mislead.
7. Prohibited items and conduct
You must not use the Services to sell, offer or promote anything illegal in India or prohibited by the WhatsApp Commerce Policy, Razorpay's list of prohibited businesses or our courier partners, including:
- drugs, prescription medicines, drug paraphernalia, tobacco, e-cigarettes and alcohol;
- weapons, ammunition, explosives and hazardous or dangerous goods;
- live animals, protected wildlife, and their parts;
- counterfeit, pirated or stolen goods, or anything that infringes someone's intellectual property;
- adult or sexual products and content, and anything harmful to children;
- gambling, betting, lotteries, real-money games, cryptocurrency, loans, investment or other regulated financial products;
- medical devices or health claims that are not approved, and items that need a licence you do not hold;
- government documents, personal data, or digital goods meant for fraud.
You must also not host, share or send content that, under Rule 3(1)(b) of the Intermediary Guidelines, belongs to someone else without permission; is obscene, defamatory, invasive of privacy, or harassing on grounds of gender, religion, caste or ethnicity; is harmful to children; deceives or misleads; impersonates anyone; threatens India's unity, security, sovereignty or public order; contains malware; or violates any law.
You must not spam, send messages people have not asked for, scrape or copy the Services, reverse-engineer them, get around usage limits or security, access other Sellers' data, resell the Services without our written agreement, or use them to build a competing product.
8. WhatsApp and Meta
To use the shop bot, you connect your own WhatsApp Business number through Meta's Embedded Signup. By doing so you:
- accept and agree to follow the WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy and WhatsApp Commerce Policy, which form a separate agreement between you and Meta;
- authorise BizEasy to manage your WhatsApp Business Account for your shop: send and receive messages, create and sync message templates, read number quality and limits, and, in coexistence mode, sync your contacts;
- agree that Meta decides number approval, display names, template approval, quality ratings, messaging limits and any restriction or ban. BizEasy is not responsible for Meta's decisions or for downtime of WhatsApp;
- agree to pay Meta's per-message charges for marketing, utility and other messages where your plan says these are billed to you, at the rates shown in the app before you send.
You can disconnect your number in the app at any time.
9. Customer payments and Razorpay
- UPI. If you use your UPI ID, Customers pay you directly from their UPI app. You confirm payments in the app. BizEasy does not verify or guarantee UPI payments or screenshots sent as proof.
- Razorpay. If you accept online payments, you do so through your own Razorpay account, under the Razorpay Terms of Use and Razorpay's KYC rules. Razorpay's fees, settlement times, holds, chargebacks and disputes are between you and Razorpay.
- Your authorisation. When you connect Razorpay (by entering API keys or approving BizEasy through Razorpay's partner authorisation), you authorise BizEasy to create orders, payment links and refunds, and to read payment and settlement status on your account, only to run your shop. You can revoke this at any time in the app or in your Razorpay dashboard.
- Partner disclosure. BizEasy is a Razorpay technology partner. Razorpay may pay BizEasy a referral or partner fee for accounts or payments made through BizEasy. This does not change the fees Razorpay charges you.
- Refunds and chargebacks on Customer payments are your responsibility as the Seller and are made from your Razorpay account or by you directly. See our Refund & Cancellation Policy.
- Unpaid online-checkout orders may expire automatically after a short time so stock is released.
10. Delivery and courier shipping
You choose how you deliver: your own delivery person, courier shipping booked through BizEasy, or both. You are responsible for the delivery fees you set and for delivering on time. Courier shipping is optional, may be limited to some Sellers, and works as follows:
- BizEasy books shipments with Shiprocket and its courier partners from your verified pickup address. Only prepaid orders can be shipped; cash on delivery is not offered.
- You pay BizEasy the shipping charge before a shipment is booked, by a payment link or from your prepaid shipping credit. Shipping credit is not a wallet or prepaid payment instrument: it can only be used for BizEasy shipping charges and is refunded only as set out in our Refund & Cancellation Policy.
- Extra charges raised by the courier, such as for weight differences, failed delivery reattempts or return to origin, are payable by you. You can raise a weight dispute in the app, and we will pursue it with the courier, but the courier's decision is final.
- You must pack goods safely, declare correct weight, dimensions and contents, and never ship prohibited or dangerous goods.
- Loss or damage in transit is handled under the courier's and Shiprocket's terms and liability limits. BizEasy will help you file claims but is not the carrier.
See our Shipping & Delivery Policy for details.
11. Plans, fees and taxes
- BizEasy offers a free plan and paid plans. Prices, limits and features for each plan are shown on our website or in the app before you buy.
- Early-access offers, such as free months for the first sellers, apply only as described when offered and cannot be exchanged for cash.
- Paid plans are billed in advance, monthly or yearly, and paid through Razorpay to BizEasy. If you choose automatic renewal, your plan renews at the end of each period until you cancel, and we (through your bank or UPI app) will notify you at least 24 hours before each renewal charge, as the RBI e-mandate rules require. Charges above ₹15,000 need your extra authentication. You can cancel the mandate at any time, and there is no fee for setting it up.
- Prices are in Indian rupees and exclude GST, which is added at the applicable rate. We issue GST invoices for our fees.
- We may change prices with at least 30 days' notice. The new price applies from your next billing period.
- If a payment fails or is overdue, we may move you to the free plan or suspend paid features after notice. Courier bookings may be paused while a shipping charge is unpaid.
- Cancellations and refunds of our fees follow our Refund & Cancellation Policy.
12. Terms for Customers
If you buy from a shop that uses BizEasy:
- your purchase contract is with the Seller, not with BizEasy. The Seller is responsible for the product, delivery, returns and refunds, and their own policies apply;
- the Seller's name and contact details are shown in the shop and on your invoice. Raise any problem with the Seller first;
- if the Seller does not resolve it, you can contact our Grievance Officer (section 20), and we will follow up with the Seller and act under these Terms;
- you can stop marketing messages from a shop at any time by replying STOP;
- nothing in these Terms limits your rights under the Consumer Protection Act, 2019.
13. Content and intellectual property
- You own your Seller Content. You give BizEasy a non-exclusive, royalty-free, worldwide licence to host, copy, display, adapt (for example resize images or translate menus) and send it, only to provide and promote your shop through the Services. This licence ends when you delete the content or your account, except for copies kept as our Privacy Policy describes.
- You confirm you have the rights to everything you upload, and that it does not infringe anyone's rights.
- BizEasy owns the Services, software, designs and the BizEasy name and logo. We give you a limited, non-exclusive, non-transferable right to use the Services under these Terms. No other rights are granted.
- If you send us ideas or feedback, we may use them freely without obligation to you.
- To report content that infringes your rights, contact our Grievance Officer with the details listed in section 20.
14. Data protection
Our Privacy Policy explains how we handle personal data. For Customer data, you are the Data Fiduciary and BizEasy is your Data Processor: we process it only to provide the Services and on your instructions, keep it confidential, protect it with reasonable security, help you answer Customers' rights requests, tell you without undue delay about any breach affecting it, and delete it after you close your account as the Privacy Policy describes. You can export your data while your account is active.
15. Third-party services
The Services depend on Third-Party Services that have their own terms and privacy policies. We do not control them and are not responsible for their availability, fees, decisions or actions, including WhatsApp number restrictions, Razorpay holds or settlement delays, and courier delays. Your use of them may require you to accept their terms directly.
16. Suspension and termination
- You can stop using BizEasy and close your account at any time from the app or by contacting us.
- We may suspend or close an account, remove content or stop a shop bot, with notice where reasonable, if you break these Terms or the law, if there is a risk of fraud, harm or abuse, if a Third-Party Service requires it, if fees remain unpaid, or if a court or authority orders it. Where the issue can be fixed, we will tell you how.
- On closure, your access ends, your WhatsApp number is disconnected, and your data is exported (if you ask) and deleted as the Privacy Policy describes. Amounts already owed remain payable.
- Sections on our role, content and IP, data, disclaimers, liability, indemnity, disputes and general terms survive termination.
17. Disclaimers
We work hard to keep BizEasy reliable and accurate, but the Services are provided "as is" and "as available". To the extent the law allows, we do not promise that they will be uninterrupted, error-free or free of harmful components, or that they will meet every need of your business. Delivery-fee estimates, courier dates, analytics and tax calculations are aids, and you should check them. We do not guarantee any level of sales or customer response.
18. Limitation of liability
To the extent the law allows:
- BizEasy is not liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, goodwill or data, even if we were told they were possible;
- BizEasy is not liable for the acts or omissions of Sellers, Customers or Third-Party Services, or for any dispute between a Seller and a Customer;
- BizEasy's total liability for all claims relating to the Services is limited to the fees you paid BizEasy in the 12 months before the event that gave rise to the claim, or ₹1,000 if you have paid nothing.
Nothing in these Terms limits liability for fraud, or for anything that cannot be limited under Indian law.
19. Indemnity
If you are a Seller, you will indemnify and hold harmless BizEasy, its directors, employees and partners against claims, losses, penalties and reasonable legal costs arising from your products, Seller Content, dealings with Customers, taxes, breach of these Terms or of any law, or misuse of Customer data or Third-Party Services.
20. Grievances and content complaints
Complaints about the Services, content, a Seller or these Terms can be sent to our Grievance Officer:
[Grievance Officer full name], Grievance Officer
[Legal entity name], [Registered office address, City, State, PIN]
Email: [grievance@bizeasy.in] · WhatsApp: +91 88867 90051
Hours: Monday to Saturday, 10:00 am to 7:00 pm IST
We acknowledge complaints within 24 hours and resolve them within 7 days, as the Intermediary Guidelines (as amended in 2026) require. We act faster where the law sets a shorter time:
- content that exposes a person's private areas, shows them in nudity or sexual acts, or impersonates them (including morphed or AI-generated images): removed within 2 hours of a complaint;
- other requests to remove unlawful content under Rule 3(1)(b): acted on within 36 hours;
- orders from a court or an authorised government agency: acted on within 3 hours, or any shorter time the order sets.
Customers' complaints about a purchase are also handled under the Consumer Protection (E-Commerce) Rules, 2020. If you are not satisfied with the Grievance Officer's decision, or it is not resolved in time, you can appeal to the Grievance Appellate Committee at gac.gov.in within 30 days of receiving the decision.
21. Governing law and disputes
- These Terms are governed by the laws of India.
- If a dispute arises, please contact us first. We will try to resolve it in good faith within 30 days.
- Disputes between BizEasy and a Seller that are not resolved this way will be referred to arbitration by a sole arbitrator appointed by mutual agreement, under the Arbitration and Conciliation Act, 1996. The seat and venue will be [City, State], and the proceedings will be in English.
- Subject to the above, the courts at [City, State] have exclusive jurisdiction.
- Customers who are consumers may also approach the consumer commissions under the Consumer Protection Act, 2019.
22. General
- Changes. We may update these Terms. We will change the date above and tell Sellers about material changes at least 15 days before they take effect. Using the Services after that means you accept them.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control, such as natural disasters, epidemics, war, government action, power or internet failures, or outages of Third-Party Services.
- Notices. We may send notices by WhatsApp, SMS, email or in the app. Send notices to us at [support@bizeasy.in] or [Registered office address, City, State, PIN].
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of business.
- Rules reminder. As Rule 3(1)(c) of the Intermediary Guidelines requires, we will remind you of these Terms and the Privacy Policy at least once a year, and tell you that breaking them can lead to suspension or removal of your account and content.
- Language. We may provide these Terms in Telugu for convenience. If there is any difference, the English version applies.
- Whole agreement. These Terms and the policies they refer to are the whole agreement between you and BizEasy about the Services. If any part is found unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it.
